1. Scope of Services

Violet Dragonfly provides a SaaS platform that connects clients with expert companions for strategy, training, co-creation, and transformation. The platform includes digital collaboration tools, project management features, and AI-assisted knowledge bases.

2. Liability Disclaimer for Information, Consultations, and AI-Generated Content

Given the nature of consulting, strategic guidance, and artificial intelligence, the following limitations of liability apply:

Consultations and Information: All guidance, information, training, and consultations provided by Companions on the Violet Dragonfly platform are intended for support, educational, and strategic purposes. Violet Dragonfly (as the platform provider) assumes no liability for the accuracy, completeness, applicability, or specific outcomes of any advice, strategies, or recommendations delivered by the Companions.

AI-Generated Content: The Violet Dragonfly platform utilizes artificial intelligence and AI-assisted knowledge bases to support users and Companions. All AI-generated content is provided on an "as is" and "as available" basis, without any warranties or representations of any kind, whether express or implied. Violet Dragonfly explicitly disclaims any liability for damages, losses, or negative consequences arising directly or indirectly from the use of or reliance on AI-generated information.

3. Responsibility for Knowledge Bases and Recommendations

Provider Accountability: The respective Companion is solely and exclusively responsible for the content, accuracy, quality, and maintenance of their specific AI knowledge bases utilized on the platform. Same applies to the customer by maintaining his own knowledge base.

Human-Verified Recommendations: Any recommendations, strategies, or action plans that are explicitly marked as "human-verified" remain the sole responsibility of the Companion providing them. Violet Dragonfly does not endorse or guarantee the validity of these third-party recommendations.

4. User Responsibility for Content Verification

Obligation to Verify: Users acknowledge and understand that artificial intelligence systems can occasionally produce inaccurate, incomplete, or out-of-context outputs (so-called "hallucinations").

Independent Validation: It is the absolute responsibility of the User (client) to critically review, independently verify, and validate all AI-generated content, as well as any guidance provided by Companions, before implementing it or making any business, financial, legal, or strategic decisions based upon it.

5. Platform Role

Violet Dragonfly acts merely as an intermediary SaaS platform facilitating the connection and collaboration between clients and Companions. We do not guarantee specific project results, financial gains, or business success resulting from engagements on our platform. Payments (e.g., in Wingbeats) and engagements are agreed upon between the client and the Companion.

6. Nature of these Terms (Allgemeine Geschäftsbedingungen)

These Terms of Service serve as an appendix to the General Terms and Conditions (in Switzerland known as "Allgemeine Geschäftsbedingungen" or "AGB") governing the contractual relationship between thinking services ltd and its users. In the event of any discrepancies between the English version of these Terms and a German version of the AGB, the German version shall prevail.

7. Fees, Payments, and "Wingbeats"

Currency and Credits: Engagements on the platform may be transacted using our internal credit system ("Wingbeats").

Companion Rates: Companions set their own rates for their services. Clients agree to pay the displayed rate for any engagement booked through the platform.

Platform Fees: Violet Dragonfly deducts a transparent platform fee from the total engagement cost before paying out the Companion.

Taxes: Unless otherwise stated, all fees are exclusive of applicable taxes, including Swiss Value Added Tax (VAT / MWST). Users are responsible for paying any applicable taxes associated with their use of the platform.

8. Intellectual Property Rights

Platform Ownership: Violet Dragonfly retains all intellectual property rights to the platform, including its software, design, logos, and proprietary AI tools.

User and Companion Content: Companions retain full ownership of the intellectual property they bring to the platform (e.g., proprietary training materials, specific frameworks). Clients retain ownership of their confidential data. By uploading content to the platform, users (companions and customers) grant Violet Dragonfly a limited, non-exclusive license to use, host, and display the content solely for the purpose of operating and improving the platform.

9. Data Protection and Privacy (Datenschutz)

The protection of your personal data is highly important to us. The collection, processing, and storage of personal data are conducted in strict compliance with the Swiss Federal Act on Data Protection (FADP / DSG) and, where applicable, the EU General Data Protection Regulation (GDPR). 10. Term and Termination

Termination by User: Users (Clients and Companions) may terminate their account at any time, subject to the completion of any ongoing engagements and settlement of outstanding fees.

Termination by Platform: Violet Dragonfly reserves the right to suspend or terminate a user's access to the platform without prior notice in cases of severe breaches of these AGB, fraudulent behavior, or misuse of the AI and platform tools.

11. Severability Clause (Salvatorische Klausel)

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely approximates the economic intent and purpose of the original provision.

12. Governing Law and Jurisdiction (Anwendbares Recht und Gerichtsstand)

Governing Law: These Terms of Service and all relationships arising from them shall be governed exclusively by substantive Swiss Law, excluding the provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and Swiss conflict of law rules.

Jurisdiction: The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms of Service or the use of the Violet Dragonfly platform shall be the competent courts at the registered seat of Violet Dragonfly in Switzerland, unless mandatory statutory provisions dictate otherwise.
